These Terms of Use govern the use of the services provided by Valo Visual. By accessing or using the Services, you agree to comply with these Terms. Please read them carefully.

1. General

1.1 Scope of Services: These Terms apply to Services such as 3D visualizations, animations, AR solutions, and other digital content, as agreed upon for each order. Service specifics are defined individually for each order.

1.2 Accurate Information: The Customer must provide accurate, up-to-date information and promptly notify the Service Provider of changes.

1.3 Updates to Terms: The Service Provider may update these Terms. The latest version is available on our website, and continued use implies acceptance. Significant changes will be communicated through appropriate channels.

1.4 Eligibility: The Services are for legal adults or authorized representatives of entities. By agreeing, you confirm the authority to bind your organization to these Terms.

1.5 Reference Use: Unless otherwise agreed, the Service Provider may use the Customer’s name and logo for reference purposes. Customers can opt-out by written notice.

2. Service Usage

2.1 Customer Materials: The Customer retains ownership of all materials they provide (“Customer Materials”). To deliver Services effectively, the Customer grants the Service Provider a non-exclusive, irrevocable, royalty-free license to use, modify, and distribute these materials.

2.2 Delivered Materials: Ownership of materials created by the Service Provider (“Provider Materials”) remains with the Service Provider unless explicitly agreed otherwise.

  • License to Use: Customers receive a limited, non-exclusive, non-transferable, revocable license to use Provider Materials for agreed purposes, such as marketing, integration into projects, or display on websites and social media.
  • Prohibited Actions: Unauthorized distribution, resale, sublicensing, or modifications of Provider Materials without written consent is prohibited.

2.3 Service Availability: While the Service Provider strives for uninterrupted service, access may be suspended for maintenance, updates, security, or legal requirements.

3. Customer Responsibilities

3.1 Access Requirements: Customers are responsible for acquiring and maintaining devices, software, and connections necessary to use the Services.

3.2 Permitted Use: Customers must not use the Services to:

  • Harass, impersonate, or threaten others.
  • Upload illegal, harmful, or infringing content.
  • Distribute spam, malware, or harmful code.

3.3 Backup Responsibility: Customers must back up their data. The Service Provider is not liable for data loss.

4. Ownership and Intellectual Property

4.1 Service Provider Rights: The software, technology, and intellectual property related to the Services belong solely to the Service Provider or its licensors.

4.2 Customer Materials: Customers retain ownership of their materials but grant a license to the Service Provider for service delivery purposes.

4.3 Provider Materials: Customers may only use Provider Materials as agreed. They must provide appropriate credit and retain the Service Provider’s logo on delivered content unless explicitly agreed otherwise.

5. Warranties and Indemnity

5.1 Customer Warranties: The Customer warrants that:

  • They have all rights to their materials.
  • Their materials do not infringe third-party rights.

5.2 Indemnity: The Customer indemnifies the Service Provider against claims or liabilities arising from their materials or breach of these Terms.

5.3 Modification Responsibility: Customers assume responsibility for modifications made to Provider Materials.

6. Limitation of Liability

6.1 No Warranties: The Services are provided “as is” without warranties of any kind.

6.2 Liability Cap: The Service Provider’s liability is limited to fifty (50) Euros. Indirect, incidental, or consequential damages are excluded.

7. Confidentiality

Both parties agree to keep each other’s confidential information secure and use it only as required under these Terms.

8. Termination

8.1 Duration: These Terms remain in effect while the Services are used.

8.2 Termination Grounds: The Service Provider may terminate the agreement immediately if the Customer breaches these Terms or becomes insolvent.

8.3 Post-Termination: Upon termination, the Customer’s license to use Provider Materials may be revoked if there are outstanding payment obligations or other violations.

9. Billing and Payment

9.1 Payment Terms: Payment is due within 14 days from the invoice date, based on the agreed pricing for Services.

9.2 Late Payments: A late interest of 8% applies for overdue payments, and Services may be suspended or terminated if payment is not received.

9.3 Accepted Payment Methods: Payments are accepted via bank transfer or PayPal, in Euros or dollars

9.4 Taxes: Prices exclude applicable taxes, which will be handled and paid by the Service Provider to the government

9.5 Refunds: 100% satisfaction guarantee. If the Customer is not satisfied with the final delivery, a full refund may be requested within 14 days

9.6 Invoicing Details: The Customer must provide accurate billing information.

This section outlines the billing process, payment methods, and responsibilities of both parties.

10. Miscellaneous

10.1 Force Majeure: The Service Provider is not liable for delays or failures due to circumstances beyond its control, such as natural disasters, labor disputes, or technical failures.

10.2 Assignment:

  • The Customer may not transfer rights or obligations under these Terms without written consent.
  • The Service Provider may transfer these Terms or agreements to third parties.

10.3 Governing Law and Dispute Resolution

  • Applicable Law: These Terms are governed by the laws of Finland, excluding its conflict of law provisions.
  • Dispute Resolution: Any disputes arising from these Terms will be settled primarily through negotiation. If no resolution is reached, disputes will be resolved by the District Court of Helsinki (Helsingin käräjäoikeus) as the court of first instance.

Both parties must maintain the confidentiality of shared information and use it solely for purposes under these Terms.
