General Terms of Service (B2B)

These General Terms of Service govern all business-to-business (B2B) engineering 3D visualizations, kinematics animations, virtual prototyping, and synthetic training data services provided by Valo Visual (Business ID: 3486270-9, Espoo, Finland).
1 Scope & Contracting Parties
1.1 Service Provider:
Services are provided by Valo Visual (Business ID: 3486270-9, registered in Espoo, Finland), hereinafter referred to as "Valo Visual" or the "Service Provider".
1.2 Scope of Application:
These Terms apply to all quotations, proposals, order confirmations, and service deliverables between Valo Visual and corporate clients (hereinafter the "Client"), covering technical CAD rendering, explode/cutaway graphics, 3D kinematics animations, explainer videos, virtual prototypes, and synthetic computer vision datasets.
1.3 Precedence:
These Terms take precedence over any general purchasing terms or procurement conditions of the Client, unless explicitly agreed otherwise in a signed written contract.
1.4 Formation of Contract:
A binding contract is established upon written acceptance of a quote (e.g. via email confirmation), execution of a project agreement, or commencement of work requested by the Client.
2 Client Materials & Engineering Data
2.1 Provision of Assets:
The Client is responsible for transmitting accurate engineering assets (.step, .stp, .iges, SolidWorks, Creo), design drawings, surface material references, and process descriptions required for production.
2.2 Asset Rights & Legality:
The Client warrants that it holds full intellectual property, patent, and licensing rights to all materials supplied, and that processing them does not infringe upon third-party rights or trade secrets.
2.3 Timeline Calculations:
Stated delivery schedules commence only after all requisite, defect-free CAD models and engineering specifications have been successfully received and verified by Valo Visual.
3 Production Process & Revisions
3.1 Four-Stage Delivery Workflow:
Production follows our structured four-step methodology: (1) CAD intake & scoping, (2) Geometry staging and kinematic rigging, (3) Draft preview & proofing review, and (4) Final 4K/8K rendering and deliverable packaging.
3.2 Included Revision Rounds:
Every fixed-price milestone includes two (2) feedback and revision rounds during the proofing stage prior to final rendering. Revisions accommodate standard adjustments to camera angles, lighting intensity, material shades, and animation pacing within the agreed scope.
3.3 Out-of-Scope Modifications:
Requests requiring redesign of native CAD geometry midway through rendering, substantial script rewrites after storyboard sign-off, or additional modeling outside the original specification will be billed separately at standard hourly rates or via supplemental quote.
3.4 Acceptance & Review Period:
The Client shall inspect final deliverables promptly. Any notices of defect or modification must be submitted in writing within seven (7) business days of delivery. Absent written notice, deliverables are deemed irrevocably accepted.
4 Intellectual Property Rights (IPR)
4.1 Client Ownership of Engineering Data:
The Client retains 100% full, exclusive ownership of its native CAD assets, engineering designs, trademarks, and trade secrets. Valo Visual receives solely a non-exclusive license strictly necessary to fulfill the project.
4.2 Commercial Rights to Deliverables:
Upon receipt of full payment for the invoiced project, the Client is granted an unrestricted, worldwide, perpetual commercial usage license to all final rendered imagery, animation videos, and generated synthetic datasets.
4.3 Proprietary Working Files & Algorithms:
Valo Visual retains all proprietary rights over internal working scene files, custom shader networks, physics simulation scripts, and procedural generators. Transfer of raw working project files requires separate written agreement and compensation.
5 Confidentiality & Mutual NDA
5.1 Confidentiality Obligation:
Both parties agree to treat all exchanged technical data, unreleased CAD geometries, and business specifications with strict confidentiality. No sensitive data will be disclosed to third parties without prior written consent.
5.2 Bilateral NDA:
A bilateral Non-Disclosure Agreement (Mutual NDA) is executed upon request prior to confidential file transfers.
5.3 Secure Data Handling:
Client engineering data is stored and processed on secure, encrypted workstations. Confidentiality obligations survive the termination or completion of the contract indefinitely.
6 Portfolio & Reference Usage
6.1 Reference Rights:
Unless expressly agreed otherwise in writing, Valo Visual holds the right to showcase publicly released deliverables, Client logos, and project summaries in its digital portfolio, website, and promotional materials.
6.2 Exclusions:
Reference rights do not apply to unreleased products prior to official public launch, defense or classified security projects, or projects subject to an express written opt-out.
7 Invoicing & Payment Terms
7.1 Payment Terms:
Invoices are payable within 14 days net from the invoice date, unless specified otherwise in the quotation.
7.2 Milestones:
Projects may specify stage milestones (e.g. 50% deposit upon kickoff and 50% upon final delivery sign-off) as indicated in the quotation.
7.3 Payment Methods:
Payments are accepted via corporate SEPA bank transfer or European electronic invoicing (Finvoice / Peppol). The Client is responsible for providing valid invoicing coordinates.
7.4 VAT & Taxes:
All quoted prices exclude VAT. Applicable Finnish VAT is applied to domestic orders. EU corporate clients with a verified VAT ID are processed under EU reverse charge provisions.
7.5 Late Payment:
Overdue payments incur statutory interest under Finnish law (minimum 8% p.a.) plus statutory recovery costs. Valo Visual reserves the right to withhold deliverables or suspend usage licenses if invoices remain unpaid.
7.6 B2B Nature of Service:
Deliverables constitute bespoke engineering services provided exclusively to business entities; consumer statutory withdrawal rights and money-back guarantees do not apply. Corrections are addressed through the structured review process under Section 3.
8 Limitation of Liability
8.1 Monetary Liability Cap:
Valo Visual's total aggregate liability for any direct damages arising from or in connection with the services or agreement is strictly limited to the total net fees actually paid by the Client to Valo Visual for the specific project in question.
8.2 Consequential Damages:
Under no circumstances shall Valo Visual be liable for indirect, incidental, special, or consequential damages, including loss of profit, business interruption, loss of data, or reputational damage.
8.3 Third-Party Claims:
The Client agrees to indemnify and hold harmless Valo Visual against any claims or legal actions resulting from intellectual property infringements related to Client-provided CAD models or specifications.
9 Force Majeure
Neither party shall be liable for delay or failure in performance caused by circumstances beyond reasonable control, including war, natural disasters, national labor strikes, widespread power or telecommunication failures, cyber warfare, or regulatory decrees.
10 Governing Law & Dispute Resolution
10.1 Applicable Law:
These Terms and all agreements between the parties are governed exclusively by the substantive laws of Finland, excluding its conflict of laws principles and the UN Convention on Contracts for the International Sale of Goods (CISG).
10.2 Jurisdiction:
Disputes shall primarily be resolved through good-faith negotiation. If an amicable settlement is not reached within thirty (30) days, the dispute shall be submitted to the exclusive jurisdiction of the District Court of Helsinki (Helsingin käräjäoikeus) as the court of first instance.
